Welcome to BudgetPal AI. BudgetPal AI is a product of Knailab LLC, a company registered in Colorado, USA.

By accessing or using BudgetPal AI, including our website, mobile application, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and subscribers. By creating an account, connecting a financial account, or using any feature of BudgetPal AI, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Description of Service

BudgetPal AI is a personal finance and budgeting application that helps you:

• Connect and view your bank accounts and credit cards through secure third-party integrations (Plaid)
• Track and categorize your transactions and spending
• Create and manage budgets
• Receive alerts and notifications about your finances
• Get AI-powered insights and recommendations about your spending habits
• Access financial data visualization and reports

BudgetPal AI is a budgeting and financial tracking tool. It is not a bank, financial institution, investment advisor, or tax preparation service. We do not provide financial, investment, tax, or legal advice.

User Responsibilities

When using BudgetPal AI, you agree to:

• Provide accurate information: You must provide accurate, current, and complete information when creating an account and using the Service
• Maintain account security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account
• Use the Service legally: You agree to use BudgetPal AI only for lawful purposes and in accordance with these Terms
• Personal use: You agree to use the Service for personal, non-commercial purposes unless otherwise authorized by us
• Comply with third-party terms: You agree to comply with the terms of service of any third-party services you connect (such as Plaid and your financial institutions)
• Notify us of unauthorized access: You must immediately notify us if you suspect any unauthorized access to your account

You agree not to:

• Use the Service to violate any applicable laws or regulations
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials with others

Important: BudgetPal AI is an educational and budgeting tool. We do not provide financial, investment, tax, or legal advice. The information, insights, and recommendations provided by BudgetPal AI are for informational and educational purposes only.

You should not rely on BudgetPal AI as the sole basis for making financial decisions. Always consult with qualified financial, tax, or legal professionals before making significant financial decisions, investments, or tax-related choices.

BudgetPal AI does not:

• Provide personalized investment advice or recommendations
• Offer tax preparation or tax advice
• Guarantee any financial outcomes or savings
• Act as a financial advisor or fiduciary
• Provide credit counseling or debt management services

Plaid and Financial Institutions

BudgetPal AI uses Plaid, a third-party financial technology service, to securely connect your bank accounts and credit cards. When you connect a financial account:

• You authorize Plaid to access your financial account information on our behalf
• Plaid's terms of service and privacy policy apply to the connection process
• We receive read-only access to your transaction and account data
• We cannot initiate transfers, payments, or other transactions on your behalf

BudgetPal AI is not a bank or financial institution. We do not hold, store, or manage your money. Your financial accounts remain with your bank or credit card company, and they are responsible for:

• The security of your accounts
• Processing transactions
• Providing customer support for banking services
• Complying with banking regulations

We are not responsible for any issues, errors, or disputes with your financial institutions. If you have questions or problems with your bank account or credit card, please contact your financial institution directly.

Subscriptions and Payments

BudgetPal AI offers different pricing tiers:

• Starter: Free tier with basic features
• Pro: Paid subscription with additional features
• Founder Pass: One-time payment for lifetime access to Pro features

Subscription Terms

If you subscribe to a paid plan (Pro):

• Subscriptions are billed on a recurring basis (monthly or annually, depending on your selection)
• Your subscription will automatically renew unless you cancel before the renewal date
• You can cancel your subscription at any time through the app settings or by contacting support
• Cancellation takes effect at the end of your current billing period
• You will continue to have access to Pro features until the end of your paid period
• No refunds are provided for partial billing periods after cancellation

Payment Processing

Payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card details.

Price Changes

We reserve the right to modify subscription prices at any time. Price changes will not affect your current subscription period but will apply to renewals. We will notify you of any price changes in advance.

No Guarantees

BudgetPal AI does not guarantee that using our service will result in any specific financial outcomes, savings, or improvements to your financial situation. Results vary based on individual circumstances and financial decisions.

Intellectual Property

The Service, including its original content, features, functionality, design, logos, and software, is owned by Knailab LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use BudgetPal AI for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

To the maximum extent permitted by law, Knailab LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or use
• Financial losses or damages
• Errors or inaccuracies in financial data or calculations
• Unauthorized access to or use of your account or data
• Interruptions or cessation of the Service
• Bugs, errors, or technical issues

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Knailab LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you submit or transmit through the Service

Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause or notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Extended periods of account inactivity
• At our sole discretion

You may terminate your account at any time by deleting your account through the app settings or by contacting us at our contact page.

Upon termination, your right to use the Service will immediately cease. We may delete your account and data in accordance with our Privacy Policy, subject to legal retention requirements.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state and federal courts located in Colorado, USA. You consent to the exclusive jurisdiction and venue of such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on this page with a new "Last updated" date
• Sending an email notification to the address associated with your account (for significant changes)
• Displaying a notice in the app (for significant changes)

Your continued use of BudgetPal AI after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
